  • Company Secretarial Services

Keeping up with regulatory compliance is a challenge faced by businesses of all sizes. At Hegarty Solicitors we provide the extra hands to take care of the corporate formalities.

Our company secretarial and business services can take care of routine administrative matters giving you time to focus on running your business safe in the knowledge that all your legal requirements are being met.

    Helping you plan for success

The post of company secretary is optional for private limited companies. However, the compliance obligations, such as filing information at Companies House and maintaining the company’s statutory registers, still need to be carried out and it is the responsibility of the directors to ensure all legal requirements are met. Failure to file documents on time may lead to a fine.

Why Not Let Us Take The Stress & Hassle Out Of The Process?

Our full compliance service is available to companies of all types and sizes. We will maintain your company’s statutory registers and file your annual returns and routine Companies House forms. And if your company books are out of date we can bring them up to date and maintain them for you.

    A Flexible Approach

We can offer these services as a package, or each separately, whichever is more convenient for you. Our competitive fixed fee options mean you know the exact costs before you proceed.

A Range Of Services For Your Business

In addition to company secretarial services we offer a number of practical services for your business. The services listed below are only a selection of those we can offer, so whatever your business needs, please contact us for further advice.

    How we can support you

    Company Formations

We can set up private and public limited companies, LLPs, companies limited by guarantee, charitable companies and flat management companies. All formations are done for a fixed fee.

    Registered Office Address

The Companies Act requires all companies registered in England and Wales to have a registered office within that area. The registered office is the address which is shown on the public record at Companies House and to which all formal post is sent. A simple, cost-effective solution is to use our registered office service for a fixed annual fee.

    Flat & Property Management Companies

We offer a full company formation and secretarial service for flat and property management companies.

    Board & Shareholder Meetings

We can prepare documents for board and shareholder meetings. We can draft board minutes and resolutions for routine administrative changes (such as change of directors, registered office, accounts year end or name) and approve company documents such as leases and commercial agreements.

    Share Restructuring

We can advise on and provide the documentation for any sort of share restructuring including the creation of a new class of share, a company’s purchase of its own shares and a reduction in share capital.

    Re-Registration Of Companies

We can register a PLC as a private company or vice versa.

    Overseas Companies

Business people of other nationalities are free to set up companies registered in England and Wales. Alternatively, we can establish a branch or place of business for your company in this country.

    Charitable Companies

We can change your memorandum and articles of association and help you get Charities Commission consent and/or charitable status.
